In your letter,
- give your opinion of your friend’s business idea
- tell him/her whether or not you have decided to accept the offer
- and explain your reasons for this decision

I hope this letter finds you well. I was delighted to receive your offer to be a partner in your new business venture. I appreciate your confidence in me and the opportunity you have presented. After careful consideration, I would like to express my opinion on your business idea.
Firstly, I believe that your business idea is innovative and has great potential for success. Your thorough market research and detailed business plan demonstrate your commitment and dedication towards making this venture a reality. I am impressed with your vision and passion for this project, and I am confident that your skills and expertise will contribute to its success.
However, after careful deliberation, I have decided that I will not be able to accept your offer to be a partner in your business at this time. As much as I believe in your idea, I have personal commitments and limitations that may hinder my ability to fully participate and contribute as a partner. I value our friendship and do not want any potential business-related issues to affect our relationship negatively.
Please understand that this decision was not taken lightly, and I have the utmost respect and admiration for your entrepreneurial spirit. I wish you all the best in your business venture and am here to support you in any other way possible.
